Amanda's practice focuses in the areas of incentive-based public financing, commercial real estate and corporate transactions, with specialized experience in PACE financing.
Experience
Property Assessed Clean Energy (PACE)
Amanda represents various lenders and capital providers in connection with PACE financing transactions including advising on state-specific PACE statutes and program-specific agreements and guidelines, drafting and negotiating assessment and financing documents, conducting legal due diligence, managing transactions from initial structuring through closing, and assisting on post-closing asset management matters including the securitization of PACE assets.
Amanda has closed PACE financing deals in California, Colorado, Connecticut, Florida, Illinois, Maryland, Michigan, Minnesota, Missouri, Nebraska, Pennsylvania, Rhode Island, Texas, Utah and Wisconsin.
Real Estate & Public Finance
Amanda represents a publicly traded specialty real estate investment trust (REIT) in a variety of real estate matters including drafting and negotiating purchase and sale agreements and commercial leases, conducting real estate and title due diligence, and aiding in asset management matters for properties used as movie theatres, waterparks, museums and resorts across the country.
She also represents lenders in the agricultural industry in connection with leasing and lending transactions across the Midwest and Southwest.
Amanda has represented clients on real estate tax appeals with the Board of Equalization in the City of St. Louis, St. Louis County and St. Charles County.
Private Business and Corporate Experience
Amanda has represented various companies in connection with acquisitions, divestitures and mergers.
She commonly assists clients in forming limited liability companies and corporations, drafting operating agreements and bylaws, and preparing a variety of other corporate governance documents.
Amanda has counseled clients with the formation of nonprofit organizations, including successfully receiving 501(c)(3) tax-exempt status with the Internal Revenue Service.
